Terms of Service
The rules of the road for using PayNugget — accounts, fees, payments, your data, and the fine print, written as plainly as we can.

These Terms of Service (“Terms”) govern your access to and use of the PayNugget website, applications, and services (collectively, the “Service”) provided by PayNugget (“PayNugget,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” refers to that business.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. PayNugget is currently available only to users and businesses based in the United States, and receiving payments requires a valid US bank account.
2. Your account
You are responsible for the information you provide and for keeping your account credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at support@paynugget.com if you suspect unauthorized use. You agree to provide accurate, current, and complete information and to keep it up to date.
3. The Service
PayNugget lets you create and send invoices and estimates, manage customers, and accept payments by ACH bank transfer or card. We may add, change, or remove features over time. We strive for high availability but do not guarantee the Service will be uninterrupted or error-free.
4. Pricing and fees
Inviting customers, creating invoices, and getting paid is available at $0 per month — there is no required subscription to use the core Service. We charge a processing fee only when a payment is successfully collected, which varies by payment method (ACH bank payments cost significantly less than card payments). We do not claim to beat standard card-network rates of roughly 2.9%.
We also offer an optional Pro plan at $12 per month for additional features. Paid plan fees are billed in advance and are non-refundable except where required by law. We may change our pricing and fees; we will give you reasonable notice of changes that affect you, and changes apply going forward. Current pricing is described on our pricing page.
5. Payments and payment processor
Payments are processed by Stripe. By accepting payments through the Service, you agree to Stripe's applicable terms, and you authorize us and Stripe to collect, process, and route funds and to deduct applicable processing fees. We are not a bank and do not provide banking, money transmission, or financial advice. Settlement timing, holds, and reserves are subject to the payment processor's policies. You are solely responsible for the goods and services you bill for and for resolving disputes and chargebacks with your customers.
6. Your content and data
You retain all rights to the data and content you put into the Service, including your customer and invoice records (“Your Data”). You grant us a limited license to host, process, and display Your Data solely to provide and improve the Service. You can export Your Data in one click at any time — you own it and there is no lock-in. Our handling of personal information is described in our Privacy Policy.
7. Acceptable use
You agree not to use the Service to:
- Violate any law or regulation, or infringe anyone's rights;
- Send spam, fraudulent invoices, or deceptive or misleading billing;
- Process payments for prohibited or high-risk activities restricted by our payment processor;
- Attempt to gain unauthorized access to the Service or other accounts;
- Interfere with, disrupt, or overload the Service or its infrastructure; or
- Reverse engineer or resell the Service except as permitted by law.
We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or other users.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by PayNugget and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding. We welcome feedback, and you agree we may use feedback you provide without obligation to you.
9. Third-party services
The Service relies on third-party providers, including Stripe (payments), Neon (database hosting), and Vercel (application hosting). We are not responsible for third-party services, and your use of them may be subject to their own terms.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Before or promptly after termination, you may export Your Data. Sections that by their nature should survive termination — including fees owed, intellectual property, disclaimers, and limitations of liability — will survive.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that it will meet your requirements. PayNugget does not provide tax, legal, or accounting advice; you are responsible for the accuracy and legality of your invoices and your tax obligations.
12. Limitation of liability
To the maximum extent permitted by law, PayNugget and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the greater of the amounts you paid us in the twelve months before the claim or one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless PayNugget from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Data, your products or services, or your breach of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
